TRAVELVERSE TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the TravelVerse platform, including its website, mobile and web applications, AI assistant known as “Vulpi,” dashboards, APIs, integrations, and all related services and functionalities (collectively, the “Platform”), operated by 1World Swiss SA and its affiliated entities, including 1World Online Inc. (together, “TravelVerse”, “Company”, “we”, “us”, or “our”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and TravelVerse.

1. Platform Description

TravelVerse is a digital technology platform designed to enhance real-world travel experiences through interactive, AI-powered, location-based, and gamified features. The Platform enables users to discover curated tours and Points of Interest (“POIs”), interact with AI-generated recommendations, collect engagement-based digital rewards, and access content created by TravelVerse, independent creators, tourism organizations, advertisers, and partners.

Certain features of the Platform may incorporate blockchain or Web3 technologies, including digital collectibles, engagement rewards, wallet integrations, or proof-of-visit systems. Use of such features is optional and may be subject to additional requirements or technical limitations.

TravelVerse operates solely as a technology and content platform. TravelVerse does not provide transportation, accommodation, guided tours, travel agency services, or other regulated travel services, and does not act as an agent, broker, insurer, or intermediary for such services.

2. User Roles

Users may interact with the Platform in different capacities, including:

• Tourists (End Users): individuals who explore content, follow tours, collect rewards, and interact with Platform features.
• Creators: individuals or entities who contribute tours, POIs, media, stories, recommendations, or other content.
• Advertisers / Partners: businesses or organizations providing offers, promotions, rewards, experiences, or sponsored content.

Within the category of Advertisers and Partners, TravelVerse may support different types of participation, including, for example:

• Points of Entry (POE): physical or digital locations through which users are introduced to the Platform, such as hotels, venues, or partner locations.
• Points of Sale (POS): locations or partners that enable the redemption of offers, rewards, or services associated with the Platform.

These categories are descriptive of how the Platform operates and do not create separate legal roles. Specific rights, obligations, and commercial arrangements applicable to such partners may be governed by separate agreements.

3. Eligibility

By using the Platform, you represent and warrant that:

• you have the legal capacity to enter into a binding agreement under applicable law;
• you are authorized to act on behalf of any entity you represent;
• all information you provide is accurate, complete, and not misleading.

If you access the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

4. Accounts

Access to certain features of the Platform requires the creation of an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account, whether authorized by you or not.

You agree to:

• maintain accurate and up-to-date account information;
• keep your credentials secure and confidential;
• notify TravelVerse promptly of any suspected unauthorized access, misuse, or security breach involving your account;
• ensure that your use of the Platform complies with these Terms and applicable laws.

TravelVerse reserves the right to suspend, restrict, or terminate accounts at its discretion, including where we reasonably believe that a user has:

• violated these Terms;
• engaged in fraudulent, abusive, misleading, or unlawful conduct;
• interfered with the integrity, security, or operation of the Platform; or
• exposed TravelVerse, its users, or partners to legal, reputational, or security risks.

5. AI Features and Vulpi

The Platform incorporates artificial intelligence technologies, including the “Vulpi” assistant, which may be used to:

• provide recommendations and suggested routes;
• personalize user experiences and content;
• generate or adapt Points of Interest (“POIs”), descriptions, summaries, or travel-related materials;
• analyze, review, and improve content quality and relevance.

Certain AI-generated features may evolve over time as the Platform develops.

AI-generated outputs:

• are provided for informational and convenience purposes only;
• may be incomplete, inaccurate, outdated, biased, or contextually inappropriate;
• do not constitute professional, safety, legal, medical, financial, or travel advice.

While TravelVerse aims to improve the quality and usefulness of AI-generated outputs, we do not guarantee their accuracy, reliability, or suitability for any specific purpose. You remain solely responsible for evaluating and relying on any information provided through AI-powered features. You agree that you will not rely on AI-generated outputs as a substitute for independent judgment or professional advice where such advice would reasonably be required.

6. Location-Based Features

Certain functionalities of the Platform rely on location data in order to enable features such as Proof-of-Visit validation, route personalization, dynamic recommendations, reward eligibility, crowd management functionality, and contextual experiences.

By using such features, you consent to the processing of your location data as described in the Privacy Policy.

You acknowledge that:

• location detection is inherently imprecise;
• results may vary due to device capabilities, connectivity, environmental conditions, or third-party services;
• TravelVerse does not guarantee successful validation of location-based actions or rewards.

TravelVerse may use approximate or real-time location data to personalize user experiences, verify participation in experiences, and improve Platform functionality.

7. Digital Rewards and NFTs

The Platform may include optional Web3 or blockchain-enabled features, including digital rewards, collectibles, or non-fungible tokens (“NFTs”), as part of certain engagement experiences.

These features are provided on an optional and “as is” basis and are intended solely to support participation, loyalty, gamification, and user interaction within the Platform.

Digital rewards and NFTs:

• do not constitute financial instruments, securities, investment products, or regulated digital assets;
• are not issued for speculative or investment purposes;
• have no guaranteed monetary, resale, or redemption value;
• may be subject to technical, geographic, legal, or functional limitations.

Where blockchain technologies are used, you acknowledge that:

• blockchain transactions may be irreversible;
• TravelVerse does not own or control third-party blockchain infrastructure;
• wallet providers and blockchain services are operated by independent third parties;
• users are solely responsible for securing wallets, credentials, seed phrases, and access keys.

TravelVerse is not responsible for losses resulting from:

• user error;
• incompatible wallets or services;
• blockchain failures or outages;
• unauthorized access to wallets or accounts;
• market volatility or third-party platform activity.

Users should only engage with Web3-related functionality if they understand the associated technologies and risks. TravelVerse does not operate or provide any marketplace for the trading or resale of such digital items unless explicitly stated.

8. Content and Intellectual Property

8.1 User and Creator Content

Users and creators retain ownership of content they submit to the Platform, including, where applicable, photographs, videos, audio recordings, text, tour descriptions, POIs, artwork, and other materials.

By submitting content to the Platform, you grant TravelVerse a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to:

• use, reproduce, display, distribute, publish, and promote such content;
• adapt, translate, crop, edit, modify, or reformat the content for operational or promotional purposes;
• use the content in connection with Platform features, AI systems, marketing campaigns, social media, partner integrations, and future Platform functionality.

This license is granted solely for purposes related to the operation, development, promotion, improvement, and commercialization of the Platform and related services including the promotion of the Platform, its partners, and user experiences across digital and physical channels.

You represent and warrant that:

• you own the submitted content or possess all necessary rights and permissions to grant the above license;
• the content does not infringe any third-party intellectual property, privacy, publicity, or contractual rights;
• the content complies with applicable laws and regulations.

8.2 AI-Enhanced Content

TravelVerse may process submitted content using AI systems. This may include:

• improving quality or clarity;
• generating variations or derivative materials;
• adapting content for different formats, audiences, or contexts;
• generating summaries, recommendations, or contextual enhancements.

You acknowledge that AI-enhanced content may differ from the original submission and that TravelVerse may use such outputs as part of its services and Platform functionality.

8.3 Platform Intellectual Property

All rights, title, and interest in and to the Platform remain the exclusive property of TravelVerse or its licensors. This includes, without limitation:

• software, code, and technical infrastructure;
• AI models, algorithms, datasets, and systems;
• branding, trademarks, logos, visual identity, and interface design;
• text, graphics, layouts, illustrations, audio, video, and other materials created or commissioned by TravelVerse;
• underlying data structures, databases, and operational systems.

No rights are granted except as expressly stated in these Terms.

8.4 Third-Party Content and Licensed Materials

Certain content displayed on the Platform may originate from third parties, including tourism boards, cultural organizations, event organizers, advertisers, sponsors, stock media providers, public sources, or other licensors.

Such content may be used pursuant to:

• licenses or commercial agreements;
• user submissions and partner permissions;
• publicly available or legally authorized sources.

TravelVerse does not claim ownership of third-party materials and respects applicable intellectual property rights. If any party believes that content appearing on the Platform infringes their rights, they may contact TravelVerse with a sufficiently detailed notice requesting review or removal.

TravelVerse reserves the right to remove, restrict, or modify content at its discretion while investigating such claims.

9. Content Responsibility and Moderation

You are solely responsible for any content you submit, publish, upload, or otherwise make available through the Platform.

TravelVerse does not systematically review or verify all user-generated or creator-submitted content and does not guarantee the accuracy, legality, quality, safety, or reliability of such materials.

The Platform may use automated moderation technologies, including AI-based systems, to detect potentially unlawful, harmful, misleading, abusive, or inappropriate content. However, such systems are not infallible and may fail to detect certain content or incorrectly restrict legitimate content.

TravelVerse reserves the right, but not the obligation, to:

• review, moderate, remove, restrict, or disable content;
• suspend or terminate accounts;
• investigate potential violations of these Terms or applicable laws;
• cooperate with law enforcement or regulatory authorities where legally required.

10. Acceptable Use

You agree not to:

• violate any applicable laws or regulations;
• submit false, misleading, unlawful, defamatory, abusive, or harmful content;
• manipulate location data, reward systems, engagement metrics, or Platform functionality;
• use bots, scrapers, crawlers, automated extraction tools, or similar technologies without authorization;
• attempt unauthorized access to accounts, systems, infrastructure, or data;
• interfere with the security, stability, or operation of the Platform;
• reverse engineer, decompile, copy, mirror, or exploit any part of the Platform except where permitted by law.

TravelVerse reserves the right to suspend or terminate accounts and pursue appropriate legal remedies in connection with violations of this Section.

11. Third-Party Services

The Platform may include links to or integrations with third-party services, platforms, maps, wallets, payment providers, analytics tools, social networks, hospitality providers, advertisers, or other external systems.

Such services are provided for convenience only. TravelVerse does not control such services and assumes no responsibility for:

• their availability or functionality;
• their content, security, or practices;
• data handling or privacy practices of third-party services;
• losses or damages arising from their use.

Your interactions with third-party services are governed by their respective terms and privacy policies.

12. Travel and Safety Disclaimer

The Platform provides travel-related information, recommendations, cultural content, and Points of Interest solely for general informational and entertainment purposes.

TravelVerse does not independently verify all information submitted by creators, partners, advertisers, or third parties and therefore does not guarantee the accuracy, completeness, legality, safety, accessibility, or suitability of locations, routes, recommendations, or activities displayed on the Platform.

You acknowledge that travel and participation in real-world activities involve inherent risks, including:

• physical injury;
• illness;
• property damage or theft;
• environmental or weather-related hazards;
• local legal, political, or safety conditions;
• actions or omissions of third parties.

Users are solely responsible for assessing risks, complying with local laws and regulations, exercising appropriate judgment, and taking necessary precautions while using the Platform or visiting locations referenced within it.

TravelVerse strongly recommends that users maintain appropriate insurance coverage and independently verify important travel, safety, accessibility, and local information before engaging in any activity.

13. Advertisers and Partner Offers

The Platform may display or provide access to offers, promotions, discounts, rewards, or experiences provided by advertisers, sponsors, tourism partners, hospitality providers, or other third parties.

Such offers may be subject to:

• geographic restrictions;
• redemption conditions;
• availability limitations;
• partner-specific terms and policies.

TravelVerse does not guarantee:

• the availability, quality, legality, or fulfillment of partner offers;
• uninterrupted access to rewards or redemption systems;
• the accuracy of third-party descriptions or representations.

Where applicable, certain rewards or offers may require validation procedures, including QR-code scanning, location verification, digital wallet interaction, or partner confirmation processes.

TravelVerse acts solely as a platform provider and is not responsible for the independent conduct, products, services, or obligations of third-party partners.

14. Privacy

Your use of the Platform is governed by our Privacy Policy, which describes how personal data is collected, processed, stored, shared, and protected.

By accessing or using the Platform, you acknowledge that your information may be processed in accordance with the Privacy Policy.

15. Disclaimer of Warranties

The Platform and all related services, features, content, AI-generated outputs, rewards, and materials are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, TravelVerse disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

• accuracy;
• availability;
• reliability;
• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted or error-free operation.

TravelVerse does not warrant that:

• the Platform will always be available, secure, or free from bugs or interruptions;
• AI-generated outputs will be accurate or suitable;
• location-based features or rewards will function without error;
• third-party services, integrations, or blockchain systems will operate reliably.

16. Limitation of Liability and Indemnification

To the fullest extent permitted by law, TravelVerse and its affiliates, officers, directors, employees, contractors, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to:

• your use of or inability to use the Platform;
• travel-related activities or incidents;
• creator, user-generated, or third-party content;
• AI-generated outputs or recommendations;
• blockchain or Web3-related functionality;
• loss of digital assets, data, or account access;
• third-party services, advertisers, or partners.

This limitation applies even if TravelVerse has been advised of the possibility of such damages.

In no event shall the total aggregate liability of TravelVerse exceed the total amount paid by you to TravelVerse during the twelve (12) months preceding the relevant claim.

You agree to indemnify, defend, and hold harmless TravelVerse and its affiliates from and against claims, liabilities, damages, losses, costs, and expenses arising out of:

• your use of the Platform;
• your content or submissions;
• your violation of these Terms;
• your violation of applicable laws or third-party rights.

17. Termination

TravelVerse may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, including where we reasonably believe that:

• you violated these Terms;
• your conduct creates legal, operational, reputational, or security risks;
• continued access may negatively affect the Platform, its users, or partners.

You may terminate your account at any time through available Platform functionality or by contacting TravelVerse.

Upon termination:

• your right to use the Platform shall immediately cease;
• certain content or data may remain retained as required by law, technical necessity, fraud prevention, or legitimate business purposes;
• provisions which by their nature should survive termination shall remain in effect including, without limitation, Sections 8, 15, 16, 18, 21, and 22.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Users located in other jurisdictions may benefit from mandatory local consumer protections under applicable law.

Any disputes arising out of or relating to these Terms or the Platform shall be subject to the jurisdiction of the competent courts of Geneva unless otherwise required by mandatory applicable law.

19. Changes to Terms

TravelVerse reserves the right to modify or update these Terms at any time.

Updated Terms shall become effective upon publication on the Platform unless otherwise specified. Continued use of the Platform following such publication constitutes acceptance of the revised Terms.

Where legally required or operationally appropriate, TravelVerse may provide additional notice regarding material changes.

20. Modifications to the Platform

TravelVerse reserves the right to modify, suspend, discontinue, or update the Platform or any of its features, functionalities, integrations, or reward systems at any time and without liability.

This includes the right to:

• add or remove features;
• change reward mechanics or eligibility;
• restrict access to certain functionalities;
• discontinue integrations, campaigns, or services.

TravelVerse shall not be liable for any impact resulting from such modifications.

21. Severability and Survival

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The following Sections shall survive termination or expiration of these Terms:

• Intellectual Property;
• Content Licenses;
• Disclaimer of Warranties;
• Limitation of Liability and Indemnification;
• Governing Law and Jurisdiction;
• any other provisions that by their nature should reasonably survive termination.

22. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements expressly referenced herein, constitute the entire agreement between you and TravelVerse regarding your use of the Platform and supersede prior discussions, understandings, or agreements relating to the subject matter herein.
